  • These Terms and Conditions of Use ("Terms and Conditions") are an agreement between you and RockCorps Limited ("RockCorps," "we," "us," and "our"), and govern your use of the RockCorps web site or pages that display these Terms and Conditions (the "Site").

Your access to and use of the Site is subject to the following Terms and Conditions and all applicable laws. These Terms and Conditions may be changed by us from time to time without notice to you, and the latest version will be posted on the Site. You should review these Terms and Conditions when you use the Site to ensure that you have a current understanding of the most recent Terms and Conditions. The Site is not intended for children under the age of 13 years. By accessing and browsing the Site, you accept, without limitation or qualification, these Terms and Conditions.

  • Information About Us

The Site, Orangerockcorps.co.uk is operated by RockCorps. We are registered in England and Wales under company number 6111711 and have our registered office at 33D Whitcomb Street, London, WC2H 7EP. Our VAT number is 929 9702 74. We are a limited company.

  • Ownership

Unless otherwise indicated, the Site and its design, text, content, and other matters related to the Site ("Content") are protected under applicable copyrights, trademarks and other proprietary laws (including, but not limited to, intellectual property laws), and all rights therein are the property of RockCorps or the material is included with the permission of the rights owner. Except as otherwise provided herein, none of the Content may be used, copied, reproduced, distributed, republished, downloaded, modified, displayed, posted or transmitted in any form or by any means, without our express prior written permission. Permission is hereby granted to lawfully access and use the Site to display, download, archive and print, portions of the Site on a temporary basis for your individual use, provided you do not modify the materials (including the Content) and that you retain any and all copyright and other proprietary notices contained in the materials (including the Content). If you wish to make any use of materials (including the Content) on the Site other than that set out above, please address your request to info@rockcorps.co.uk.

The RockCorps logo, all product names, page headers, custom graphics, button icons, trademarks, service marks and logos appearing on the Site, unless otherwise noted, are service marks, trademarks (whether registered or not) and/or trade dress of RockCorps (the "Marks"). All other trademarks, product names, company names, logos, service marks and/or trade dress mentioned, displayed, cited or otherwise indicated on the Site are the property of their respective owners. You are not authorised to display or use the Marks in any manner without our prior written permission. The use or misuse of the Marks or other trademarks, product names, company names, logos, service marks or any other materials contained herein, except as permitted herein, is expressly prohibited.

The word "RockCorps" is a Community Trade Mark of RockCorps.

  • Data Protection Consent

By agreeing to these Terms and Conditions, you agree to the terms of our Privacy Statement. All personal data provided to us as a result of your use of the Site will be handled in accordance with our Privacy Statement. We reserve the right to monitor your communications with us.

  • User-Submitted Content

Certain sections of the Site allow users to submit comments or upload other content (collectively "User Content") to the Site or to third party sites. Such User Content will be considered non-confidential and may be posted on or accessed through the Site in the sole discretion of RockCorps. We also have the right to disclose your identity to any third party who is claiming that any User Content posted or uploaded by you to the Site constitutes a violation of their intellectual property rights, or of their right to privacy.

By submitting any User Content to the Site (whether the actual submission occurs on the Site or a third party site), you are granting RockCorps ownership of all right, title, and interest therein, and RockCorps will have the perpetual, irrevocable, worldwide, royalty-free right, as the owner of the User Content, to reproduce, modify, display, distribute, perform, transmit, and create derivative works thereof, in any and all media or form of communication whether now existing or hereafter developed, and the right to grant third parties the right to exercise any of the foregoing rights or any other rights RockCorps may possess as the owner of the User Content, without notification or compensation to you, and without your consent. RockCorps reserves the right at all times to disclose any User Content or information as is necessary to satisfy any law, regulation or governmental request. RockCorps, in its sole discretion, may edit, refuse to post or remove any User Content, in whole or in part, for any reason, including, without limitation, User Content that is objectionable or in breach of these Terms and Conditions.

It is a condition of these Terms and Conditions that you do not:

o    post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent User Content of any kind, including, without limitation, any transmission constituting or encouraging conduct that would constitute a criminal offence, give rise to civil liability or otherwise violate any local, state, national or foreign law;

o    post or transmit any User Content which violates or infringes upon the rights of others, including User Content which constitute an invasion of privacy or infringement of publicity rights or which is protected by copyright, trademark or other proprietary right, or derivative works thereof, without first obtaining permission from the owner or right holder;

o    post or transmit any User Content which contains a virus or other harmful component; or

o    post, or transmit or in any way exploit any User Content for commercial purposes which contains advertising, promotions or marketing.

By providing User Content to or for the Site, you warrant and represent that you own the copyright for such User Content. RockCorps reserves the right to remove any User Content without notice and with or without cause, at any time, in its sole discretion, and to terminate your access to, and use of, the Site, or to censor, edit or block your transmissions thereto.

  • Limitation of Liability

To the fullest extent permitted by applicable law we, on behalf of other members of our group of companies and third parties connected to us:

o    make no representations or warranties with respect to the Site or the Content, which are provided "AS IS" and on an "AS AVAILABLE" basis;

o    disclaim all warranties, express or implied, including without limitation, implied warranties of non-infringement, satisfactory quality and fitness for a particular purpose, with respect to the Site and any website with which it is linked;

o    do not warrant that the Site, its servers or e-mail sent from us will be free of any harmful components (including viruses);

o    do not provide any representations or warranties against the possibility of deletion, misdelivery or failure to store communications, personalized settings, or other data;

o    exclude any liability for any direct, indirect, special, punitive, or consequential damages or losses incurred by any user in connection with the Site or in connection with the use, inability to use, or results of the use of the Site, any websites linked to it and any materials posted on it, including, without limitation any liability for:

§  loss of use;

§  loss of data;

§  loss caused by a virus;

§  loss of income or profit;

§  loss of or damage to property, claims of third parties; or

§  other losses of any kind or character, even if we have been advised of the possibility of such damages or losses.

Nothing in these Terms and Conditions shall:

o    affect the statutory rights of any consumer;

o    exclude or restrict any liability for death or personal injury arising from our negligence;

o    exclude or restrict any liability for fraud or fraudulent misrepresentation; or

o    exclude or restrict any other liability which cannot be excluded or limited under applicable law.

This limitation of liability applies whether the alleged liability is based on contract, negligence, tort, strict liability or any other basis. Some jurisdictions do not allow the exclusion of implied warranties, or certain kinds of limitations or exclusions of liability, so the limitations and exclusions set out in these Terms and Conditions may not apply to you.

  • Your Obligations

If you wish to register on the Site (including without limitation registration for any specific promotions or activities offered through the Site), you will be required to provide certain personal information to us. You agree to (a) provide true, accurate, current and complete information about yourself as prompted in the applicable page, (b) maintain and promptly update your information to keep it true, accurate, current and complete and (c) the terms of our Privacy Statement.

Your account, including your username and password, are personal to you and may not be used by anyone else. As set out in the Privacy Statement, you are responsible for maintaining the confidentiality of your password and username and are fully responsible for all activities that occur under your account by you or by anyone else, whether or not authorised by you.

You agree to use the Site in a manner consistent with any and all applicable laws, rules and regulations. You agree not to upload or transmit through the Site any computer viruses, trojan horses, worms or anything else designed to interfere with, interrupt or disrupt the normal operating procedures of a computer. Any unauthorised modification, tampering or change of any information, or any interference with the availability of or access to the Site is strictly prohibited. RockCorps reserves all rights and remedies available to it including reporting any breach to the relevant law enforcement authorities and co-operating with those authorities by disclosing your identity to them.

You assume total responsibility for establishing procedures for data back up and virus checking as you consider necessary.

You agree to indemnify, release and hold us harmless as well as our officers, directors, agents, representatives and employees from any claim, liability, loss, expense or demand, including legal fees, related to your violation of these Terms and Conditions or your access or use of the Site.

  • Additional Terms

We may also require you to follow additional rules, guidelines or other conditions in order to participate in certain promotions or activities available through the Site. These special rules will be posted on or linked from the relevant portions of the Site or the portions of the Site that describe the specific promotions or activities. These additional rules are part of these Terms and Conditions, and you agree to comply with them when you participate in those promotions or activities.

  • Intellectual Property Policy

RockCorps respects the intellectual property of third parties, and takes matters of alleged intellectual property infringement seriously. If you believe that your own work, or the work of a third party for whom you are authorized to act, is featured on the Site or has been otherwise copied or made available on the Site in a way that constitutes copyright infringement, please send a notice of the alleged infringement to RockCorps including all of the following information:

o    An electronic or physical signature of the intellectual property owner, or an agent authorized to act on behalf of the owner;

o    A description of the work that you claim has been infringed (including the URL, location on the web site, title and/or item number (if applicable) or other identifying characteristics);

o    Your name, company name, address, telephone number, fax number, and e-mail address (and, if you are not the owner of the intellectual property, the name of the owner);

o    A statement by you that you have a good-faith belief that the described use of the work is not authorized by the intellectual property owner, its agent, or the law;

o    A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the intellectual property owner or an agent authorized to act on behalf of the intellectual property owner.

  • Modification and Discontinuation

We reserve the right at any time to modify, edit, delete, suspend or discontinue, temporarily or permanently the Site (or any portion thereof) with or without notice. You agree that we will not be liable to you or to any third party for any such modification, editing, deletion, suspension or discontinuance of the Site. Any of the material (including the Content) on the Site may be out of date at any given time, and we are under no obligation to update such material.

  • Links to and from the Site

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

You must not establish a link from any website that is not owned by you.

The Site must not be framed on any other site, nor may you create a link to any part of the Site other than the home page. We reserve the right to withdraw linking permission without notice. The website from which you are linking must comply in all respects with the content standards set out in these Terms and Conditions. Where the Site contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.

  • General

These Terms and Conditions (together with our Privacy Statement, which is incorporated herein) contain the entire understanding between you and us with respect to use of the Site. Our failure to enforce any provision of these Terms and Conditions shall not be deemed a waiver of such provision nor of the right to enforce such provision.

In the event any provision of these Terms and Conditions is determined to be invalid, such invalidity will not affect the validity of the remaining portions, and the parties will substitute for the invalid provision a provision which most closely approximates the intent and economic effect of the invalid provision.

These Terms and Conditions will be governed by and construed under the laws of England, without regard to conflict of law principles. The Site is intended to be accessed only by persons in the United Kingdom. Access to, or use of, the Site may be prohibited by law in certain countries or jurisdictions. You are responsible for compliance with any applicable laws of the country from which you are accessing the Site. You hereby consent and waive all objection to the exclusive jurisdiction of the English Courts to resolve any controversy or claim arising out of or relating to use of the Site.

  • NO PURCHASE, PAYMENT OR DONATION OF ANY KIND IS NECESSARY TO ENTER INTO THE FREE DRAWS AND WIN A PRIZE. A PURCHASE, PAYMENT OR DONATION WILL NOT INCREASE OR IMPROVE YOUR CHANCES OF WINNING.

Thank you for your interest in the "RockCorps Collective Free Draws" (the "Draws"). If you would like to participate in the Draws and become eligible to receive a prize, follow the steps outlined below. By participating in the Draws or accepting these terms and conditions ("T&Cs") by clicking the "I ACCEPT" button, you accept, without limitation or qualification, these T&Cs.

  • The Draws are not lotteries. As a condition to participating in a Draw, you hereby agree to the following T&Cs:

    1.     SPONSOR. SPONSOR. The Draws are sponsored and administrated by RockCorps Limited ("RockCorps", "we" "us" or "our") of 33D Whitcomb Street, London, WC2H 7EP.
  • 2. FREE DRAW NO. 1 ("THE GIVEAWAY")
  • 2.1 ELIGIBILITY. The Giveaway is only open to participants who:
  • 2.1.2 at the participation date, are legal residents of England, Wales, Scotland or Northern Ireland (“United Kingdom”);
  • 2.1.3 at the participation date, are at least 16 years of age (see para 4.1 below for proof of age requirements);
  • 2.1.4 at the participation date, are Orange RockCorps members (for information on how to become an Orange RockCorps member, go to www.orangerockcorps.co.uk (“the Site”));
  • 2.1.5 during the Giveaway Period (defined in para 2.2), complete at least 4 hours of community service (i) with one of our charity partners of (ii) via www.do-it.org.uk (“Approved Event”));
  • 2.1.6 are not employees, officers and/or directors of RockCorps or its parents, subsidiaries, affiliates, sponsors (with the exception of employees of Orange Personal Communications Services Limited), promotion partners, advertising and promotion agencies or the immediate families (defined as parents, spouses, children, siblings, grandparents, and their respective spouses) or members of the same household (whether related or not) of each such employee, officer and director; and
  • 2.1.7 at the participation date, have not received any giveaway in the previous 6 months as a result of participation in the Giveaway.
  • The Giveaway is void where prohibited or restricted by law. PARTICIPANTS WILL NOT BE ELIGIBLE TO PARTICIPATE IN THE GIVEAWAY IF THEY HAVE PARTICIPATED IN ANYTHING OTHER THAN APPROVED EVENTS.   • 2.2 PROMOTION PERIOD.The Giveaway shall remain open until 31 December 2010 or while supplies of the giveaway prizes (as listed on the Site) last, whichever is earlier ("Giveaway Period").
  • 2.3 GIVEAWAY PRIZES.During the Giveaway Period, and subject to these T&Cs, we will endeavour to send to eligible participants who submit a qualifying submission, a giveaway prize listed on the Site, while supplies last.
  • 2.4 HOW TO PARTICIPATE; QUALIFYING SUBMISSION; USER SUBMITTED MATERIALS.

Each participant is required to submit a fully completed written questionnaire as part of the submission process described below (the "Questionnaire"), together with digital photographs and/or a digital video created by the participant which shows the participant at the Approved Event(s) (collectively, "Visual Materials"). A participant may include up to, but no more than, 4 digital photos and 1 digital video (no longer than 5 minutes) per submission. Visual Materials may not be accepted at all times during the Giveaway so check the Site at the time of submission to verify the type of Visual Materials that will be accepted by us.


If you wish to submit Visual Materials as part of your participation in the Giveaway, you acknowledge and agree that:

o    the posting of any Visual Materials to the Internet is subject to our discretion; and

o    only we may post the Visual Materials on the Site.

The use of the Site (including for submissions to the Giveaway) shall also be subject to the RockCorps Website Terms and Conditions of Use ("Site Terms") and RockCorps Privacy Policy ("Privacy Policy"). Neither the Site Terms or the Privacy Policy apply to any third party sites on which the Visual Materials appear and accordingly, RockCorps, its parents, subsidiaries and affiliates, and their respective agents, advertising and promotion agencies, sponsors and promotion partners shall have no liability with regard to your use of such websites.

We may (but shall have no obligation to) post all or any part of a participant’s submissions to the Giveaway on the Site.

During the Giveaway Period, a participant’s submission (including the Questionnaire and Visual Materials) must be submitted online. Participants must go to the RockCorps Collective section of the Site and follow the links and instructions for online submission. Each participant must fully complete the online Questionnaire and submit the Questionnaire and Visual Materials in accordance with the on-screen instructions. Photos are recommended to be at least 320x280 pixels, horizontal, 72dpi. Videos are recommended to be .MOV or .SMV file types.

All submissions must be received by us before the end of the Giveaway Period. We will determine in our sole discretion whether a submission complies with these T&Cs. Submissions will not be acknowledged or returned. Proof of submission will not be deemed to be proof of receipt by us. Winners of the Giveaway will be notified by email and will receive their prize within 6 weeks of the end of the Giveaway Period.

All submissions in the Giveaway (and all components of such submissions) by a participant must be the participant’s own original creation (an original is the product of one’s own mind and is not a copy or imitation) and created solely by the participant. Modifying, enhancing or altering a third party’s work does not qualify as a participant’s original creation. Each submission must be in keeping with our image and may not be offensive or inappropriate, as determined by us in our sole discretion, nor can it defame or invade publicity rights or privacy of any person, living or deceased, or entity, or otherwise infringe upon any person’s or entity’s personal, intellectual property or property rights or any other third party rights.

All submissions to the Giveaway (and all components of such submissions) by a participant become our exclusive property. Each participant hereby irrevocably and unconditionally:

o    assigns to RockCorps and its successors and assigns, all right, title and interest in and to such entry and submissions, including, without limitation, all intellectual property and other proprietary rights; and

o    waives all moral rights arising therefrom so far as the participant may lawfully do so.

Each participant agrees that RockCorps, its successors and assigns, or their parents, subsidiaries, affiliates, sponsors, promotion partners, advertising and promotion agencies, licensees and designees may use, modify, display, reproduce, make derivative works of, and otherwise exploit participants’ submissions (or any part thereof) in any manner or media whether now or hereafter existing and/or to otherwise use or commercially exploit any submission (or any part thereof) or information or ideas contained within any submission, all without further payment, consideration, attribution, notice or consent.

  • 3 FREE DRAW NO. 2 (“BIG DRAW”)
  • 3.1 ELIGIBILITY. The Big Draw is only open to participants who have submitted qualifying submissions for the Giveaway during the Big Draw Entry Period (defined in para 3.2) save in respect of employees of Orange who are eligible for Giveaway prizes but not the Big Draw. Participants will automatically be entered into the Big Draw. The Big Draw participants must therefore fulfill all of the criteria and comply with the T&Cs applying to the Giveaway to be eligible for the Big Draw.

The Big Draw will consist of multiple draws over a certain period of time (as determined by us in our sole discretion). You will automatically be entered into each of the multiple draws but you will not be eligible to win more than one prize in any 6 month period.

The Big Draw is void where prohibited or restricted by law. Your participation in the Big Draw is at your own risk. Nothing in these T&Cs shall affect your statutory rights.

  • 3.2 ENTRY PERIOD. The start and end dates for each of the multiple draws in the Big Draw shall be specified on the Site ("Big Draw Entry Period"). RockCorps’ computer is the official timekeeping device for the Big Draw.
  • 3.3 PRIZES. The prizes for the Big Draw shall be listed on the Site. We will randomly select one potential winner from among all eligible entries received. Where the prize list includes tickets for a regional event, we may decide to randomly select one potential winner from among all eligible entries received from the area local to that event. Odds of winning a prize depend on the number of eligible entries received. If the potential winner cannot be contacted within 10 days of the first attempt to contact him/her, if the potential winner is found to be ineligible or if the potential winner does not comply with the T&Cs, then the potential winner may be disqualified and an alternate winner selected by RockCorps in his/her place at random from among all eligible non-winning entries received for the Big Draw. Prizes will be sent within 6 weeks of the end date of each of the multiple draws in the Big Draw.
  • 4 FURTHER TERMS APPLICABLE TO THE DRAWS
  • 4.1 PROOF OF AGE. We assume that by entering the Draws (and you warrant that) you are aged 18 or over or, if you are under 18 (or you lack the legal capacity necessary to enter into these T&Cs), that a parent/legal guardian has consented to these T&Cs and your entry into the Draws. We assume that by entering the Draws (and you warrant that) you are at least 16 years of age. We reserve the right to request proof of age/parental or legal guardian consent before awarding any prizes or allowing you to participate in the Draws and, in relation to the Giveaway, an Approved Event.
  • 4.2 PRIZES. All prizes shall be as selected by us in our sole discretion. LIMIT: one prize per participant per Draw unless we state otherwise. We reserve the right (but have no obligation) to substitute any prize with other prizes of equal or greater value if a prize is not available for any reason as determined by us in our sole discretion. Prizes (and any substitute prize) must be accepted as awarded and, to the fullest extent permitted by applicable law, the prizes (and any substitute prize) are awarded with no warranty, representation or guarantee, express or implied, in fact or in law, from RockCorps, its parents, subsidiaries and affiliates, and their respective agents, advertising and promotion agencies, sponsors, promotion partners and prize suppliers or for which such parties shall be liable, including, without limitation, any implied warranties of satisfactory quality, non-infringement or fitness for a particular purpose. There will be no cash alternatives.
  • 4.3 SUSPENSION; DISQUALIFICATION; TERMINATION. We may terminate, modify or suspend any of the Draws (or any part thereof) if, in our opinion, (i) there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Draws or (ii) viruses, bugs, unauthorised intervention, fraud, technical difficulties or failures or any other factor beyond our reasonable control adversely affects or may adversely affect the proper administration, security, fairness, integrity or conduct of the Draws (or any part thereof). Failure to submit all required information in the manner required in these T&Cs may result in disqualification. We reserve the right in our sole discretion to disqualify any participant we find to be tampering with the submission process or the operation of the Draws (or any part thereof) or to be in breach (whether actual or alleged) of any laws, these T&Cs, the Site Terms and/or the Privacy Policy.
  • 4.4 AGREEMENT TO TERMS AND CONDITIONS; CHANGES. Your participation in the Draws is subject to these T&Cs as well as the Site Terms and Privacy Policy, which are hereby incorporated into these T&Cs. To the extent any right or protection granted to RockCorps in these T&Cs is broader than in the Site Terms or Privacy Policy, these T&Cs shall apply but only to the extent of any inconsistency. By participating in the Draws, each participant (and the participant’s parent or legal guardian if the participant is under 18 years of age or lacks the legal capacity necessary to enter into these T&Cs) fully and unconditionally agrees to be bound by and accepts these T&Cs, the Site Terms, the Privacy Policy and the decisions of RockCorps, which are final and binding in all respects. These T&Cs may be changed by us from time to time and the latest version will be posted on or linked to the Site. At the time of making any submission in the Draws you should verify the T&Cs then in effect.
  • 4.5 INDEMNIFICATION. You are responsible for any submissions you make in the Draws and RockCorps will not be liable to you for the consequences of any such submissions. You agree to immediately notify us of and to indemnify and hold us harmless from any and all claims resulting from:

o    any submission made by you in the Draws; and/or

o    your acts, omissions, or representations in any way related to the Draws or these T&Cs.

We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you.

  • 4.6 RELEASE. To the fullest extent permitted by applicable law, by participating, each participant forever and irrevocably releases RockCorps and our parents, subsidiaries and affiliates, and their respective agents, advertising and promotion agencies, sponsors, promotion partners and prize suppliers, from and against all claims, damages or liabilities arising in whole or in part, directly or indirectly, from participants’ participation in the Draws and/or the participant’s receipt or use of any prizes awarded in the Draws.
  • 4.7 LIMITATIONS OF LIABILITY. To the fullest extent permitted by applicable law, RockCorps and our parents, subsidiaries and affiliates, assume no responsibility for:

All submissions in Draw One (and all components of such submissions) by a participant become our exclusive property. Each participant hereby irrevocably and unconditionally:

o    incorrect or inaccurate transcription of entry information or late, lost, undelivered, stolen, unintelligible, illegible, damaged, altered, incomplete, postage-due or misdirected submissions or submissions received through impermissible or illegitimate channels, all of which will be disqualified;

o    technical failures of any kind, including but not limited to the malfunctioning of any telephone, computer online systems, computer equipment, web site, server provider, network, hardware or software (excluding the Site);

o    unauthorised intervention in any part of the submission process or the Draws;

o    printing, typographical, electronic or human errors which may occur in the offer or administration of the Draws or the processing of submissions; or

o    any damage to property which may be caused, directly or indirectly, in whole or in part, from participants’ participation in the Draws.

Any liability or responsibility arising out of or in connection with the Site (including, without limitation, viewing, playing or downloading any material, technical failures, unavailability or inaccessibility) shall be subject to the Site Terms.

  • 4.8 PUBLICITY; DATA PROTECTION. Except where prohibited by applicable law, acceptance of these T&Cs or participation in the Draws constitutes the winner’s consent to our and our parents, subsidiaries and affiliates (and their successors and assigns use of any information given by the winner in any manner or media (including, without limitation, online), worldwide, in perpetuity, and without further payment, consideration or consent. Please see the terms of our Privacy Policy to see how we will treat your personal information. We will retain data relating to participants for a reasonable period after the end of the Draws to assist us with the proper administration of the Draws, to deal with any queries relating to the Draws and to comply with applicable laws.
  • 4.9 GENERAL. Our failure to enforce any provision of these T&Cs shall not be deemed a waiver of such provision nor of the right to enforce such provision. In the event any provision of these T&Cs is determined to be invalid, such invalidity will not affect the validity of the remaining portions, and the parties will substitute for the invalid provision a provision which most closely approximates the intent and economic effect of the invalid provision. These T&Cs will be governed by and construed under the laws of England, without regard to conflict of law.
